Item 7.01. Regulation FD Disclosure.
On December 14, 2011, Yahoo! Inc., a Delaware corporation (“Yahoo!”), Alibaba Group Holding Limited, a company organized under the laws of the Cayman Islands (“Alibaba”), and Softbank Corp., a Japanese corporation (“Softbank”), consummated the transactions under the previously announced Framework Agreement, dated July 29, 2011, by and among Yahoo!, Alibaba, Softbank, Alipay.com Co., Ltd., a limited liability company organized under the laws of the People’s Republic of China (“Alipay”), APN Ltd., a company organized under the laws of the Cayman Islands (“IPCo”), Zhejiang Alibaba E-Commerce Co., Ltd., a limited liability company organized under the laws of the People’s Republic of China (“HoldCo”), Jack Ma Yun, Joseph C. Tsai and certain security holders of Alipay or HoldCo as joinder parties.
