Item 7.01 – Regulation FD Disclosure.

Between December 9, 2011 and December 13, 2011, Newport Corporation (the “Registrant”) retired $38.7 million in principal amount of its 2.5% convertible subordinated notes due February 15, 2012 (the “Notes”). The total consideration paid by the Registrant for such Notes was $38.9 million plus accrued interest through the retirement date.
