Item 7.01 Regulation FD Disclosure.
On December 7, 2011, IASIS Healthcare LLC (“IASIS”) announced that the qui tam lawsuit brought by former employee Jerre H. Frazier has ended, with Frazier moving to withdraw his appeal of his previously-dismissed case as part of an agreement that preserves IASIS’ request for court sanctions against Frazier’s legal counsel, including Philips & Cohen of Washington, D.C., for engaging in professional misconduct in connection with this lawsuit. IASIS’ press release announcing the end of the litigation is attached to this Current Report on Form 8-K as Exhibit 99.1.
