Termination of a Material Definitive Agreement

On November 29, 2011, the Company received a letter from Euro American S.A. dated November 11, 2011 whereby they have given the Company notice that they have terminated all negotiations. It was further stated that the Original Term Sheet dated around May 11, 2011 and the Revised Term Sheet dated July 22, 2011 have both been terminated by its own terms and is no longer in force, binding or of any effect.
