Item 1.01  Entry into a Material Definitive Agreement.

On December 1, 2011, Retail Opportunity Investments Corp. (the "Company") and Retail Opportunity Investments Partnership, LP entered into an underwriting agreement with Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representative of the several underwriters named in Schedule A thereto, in connection with the offer and sale by the Company of 6,500,000 shares of its common stock, par value $0.0001 per share, at a price of $10.85 per share. The Company granted the underwriters an option to purchase up to 975,000 additional shares of common stock to cover sales in excess of the number of shares of common stock initially sold.  The Company expects to receive net proceeds from the offering of approximately $77.2 million after the deducting the underwriting discount and estimated offering expenses.  The shares of the Company's common stock are being offered and sold under a prospectus supplement and related prospectus filed with the U.S. Securities and Exchange Commission pursuant to a shelf registration statement on Form S-3 (File No. 333-163866). The offering is scheduled to close on December 7, 2011, subject to specified closing conditions. A copy of the underwriting agreement is attached as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference.

In connection with the filing of the underwriting agreement, the Company is filing as Exhibit 5.1 hereto an opinion of its counsel, Clifford Chance US LLP.
