(d)   This Item 5.07(d) supplements the Form 8-K filed by LSB Industries, Inc (the “Company”) to report the voting results of the Company’s 2011 Annual Meeting of Stockholders held on June 2, 2011 (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders voted on, among other matters, a proposal on the frequency of future shareholder advisory votes regarding compensation awarded to named executive officers (commonly referred to as the “say on pay” vote). As previously reported by the Company, the frequency of once each year received the highest number of votes cast. Based on these results, the Company has determined that the Company will conduct future stockholder advisory votes regarding compensation awarded to its named executive officers once each year until the next required advisory vote on the frequency of future advisory votes on executive compensation.
