ITEM 8.01 OTHER EVENTS

On November 29, 2011, Einstein Noah Restaurant Group, Inc. issued a press release announcing its acquisition of Kettleman Bagel Company, a five-store bagel chain in Portland, Oregon which the Company expects to rebrand into one of its other brands in the future. The Company paid $5 million for all tangible and intangible assets used in the business and expects the five locations, in total, to generate over $5 million in annual revenues on a go-forward basis.
