Item 1.01. Entry into a Material Definitive Agreement.

On November 23, 2011, Belden Inc. (the “Company”) entered into an Amendment No. 1 to Credit Agreement with the financial institutions listed on the signature pages thereof and JPMorgan Chase Bank, N.A., as Administrative Agent (the “Amendment”). The Amendment permits certain mandatory and voluntary prepayments, purchases, redemptions and other acquisitions or satisfactions of the Company’s subordinated indebtedness up to an aggregate amount of $55,000,000. A copy of the Amendment is filed as Exhibit 10.1 hereto. The foregoing description of the Amendment does not purport to be complete, and is qualified in its entirety by reference to the full text to the Amendment, which is incorporated by reference herein. The representations and warranties contained in the Amendment and the related Credit Agreement were made only for purposes thereof and as of specific dates; were solely for the benefit of the parties to the Amendment and the related Credit Agreement; and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors.
