Item 8.01 Other Events.

On Friday, November 18, 2011, the Company was informed that the staff of the Florida Public Service Commission ("FPSC") requested the FPSC to defer its decision on Florida Public Utilities Company’s petition for approval of the acquisition adjustment and recovery of certain regulatory assets until the FPSC’s meeting on December 6, 2011. The FPSC was originally scheduled to review this recommendation at its scheduled meeting on November 22, 2011.
