On November 15, 2011, Mr. Timothy R. Brown resigned from service as a Director of the Registrant. He was Chairman of the Registrant’s Compensation and Nominating/Governance Committees and was a member of the Investment Committee. Mr. Brown has served as a Director since 2000.
