On November 10, 2011, IASIS Healthcare LLC (the “Company”) issued a press release announcing the commencement by the Company and its wholly owned subsidiary IASIS Capital Corporation of an exchange offer for all of their outstanding 8.375% senior notes due 2019, which are not registered under the Securities Act of 1933, as amended (the “Act”), for an equal principal amount of their 8.375% senior notes due 2019, which have been registered under the Act. The exchange offer will commence on November 10, 2011 and expire at 5:00 p.m., New York City time, on December 12, 2011.
The press release announcing the commencement of the exchange offer is filed herewith as exhibit 99.1, and is incorporated by reference herein.
