SECTION 1 – Registrant’s Business and Operations
Item 1.01 Entry Into Material Definitive Agreement
On November 1, 2011, we entered into a Photovoltaic System Contract with Best Cheer Stone, Inc. of Anahiem, California (the “Contract”). Under the Contract, we have been engaged to install a 366.6 kW-DC photovoltaic solar power system for an estimated total price of $1,797,108.34 to be paid as follows:
- 5% down payment of $89,855.42 due upon signature of the contract;
- Additional 5% payment of $89,855.42 due upon permit approval from the City of Anaheim;
- A lump sum payment of $539,132.50 to be paid within five business days after the customer receives an anticipated cash grant for the project from the U.S. Treasury Department. The payment will be equal to the amount of the grant;
- A stream of annual payments estimated to total $735,045.30. These annual payments will commence when the customer begins to receive incentive payments related to the project from the Anaheim Utility Company. The actual annual payments will be equal to the monthly incentive payments received by the customer;
- A stream of monthly payments totaling $343,219.70, to be paid in 84 monthly installments of $4,085.95, with payments to begin within five days after the system is approved by the local utility company.
In addition, we have agreed to provide certain warranties to the customer regarding workmanship, minimum nominal power outputs of the system, and other matters. We expect to begin work on the system in early 2012.
The foregoing is a summary of the material terms of the Contract and is not a complete description of its contents. The Contract is filed herewith as Exhibit 10.1
On November 3, 2011, we entered into a Photovoltaic System Contract with Harmoni Group, Inc. of City of Industry, California (the “Contract”). Under the Contract, we have been engaged to install a 200.925 kW-DC photovoltaic solar power system for an estimated total price of $820,999.64 to be paid as follows:
- 10% down payment of $82,999.96 due upon signature of the contract;
- A lump sum payment of $246,299.89 to be paid within five business days after the customer receives an anticipated cash grant for the project from the U.S. Treasury Department. The payment will be equal to the amount of the grant;
- A stream of monthly payments estimated to total $74,690.00. These monthly payments will commence when the customer begins to receive incentive payments related to the project from the Southern California Edison Utilities Company. The actual annual payments will be equal to the monthly incentive payments received by the customer;
- A stream of monthly payments totaling $417,909.79, to be paid in 60 monthly installments of $6,965.17, with payments to begin within five days after the system is approved by the local utility company.
In addition, we have agreed to provide certain warranties to the customer regarding workmanship, minimum nominal power outputs of the system, and other matters. We expect to begin work on the system in early 2012.
