ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 7, 2011, GeoResources, Inc. (the “Registrant”) issued a press release announcing financial results for the third quarter ended September 30, 2011. A copy of the press release is furnished with this report as Exhibit 99.1.
