Item 1.01  Entry into a Material Definitive Agreement.
 
On November 4, 2011, we entered into a loan terms agreement whereby we agreed to repayment terms regarding an outstanding loan in the amount of $74,062.33 from a lender.  The loan is unsecured, non-interest bearing and due on October 31, 2016.  We have agreed to pay the principal of the loan over time by paying to the lender 10% of the gross proceeds received by us from any equity or debt financing that we conduct until the loan is paid in full.
 
A copy of the loan terms agreement is attached as exhibit 10.1 to this current report on Form 8-K.
