Item 5.07 Submission of Matters to a Vote of Security Holders.

The 2011 Annual Meeting of Shareholders (the “Annual Meeting”) of Anaren, Inc. (the “Company”) was held on November 2, 2011 in Littleton, Colorado.  At the Annual Meeting, the Company’s shareholders approved all of the items presented which included: (i) the election of four (4) directors, all of whom were then serving as directors of the Company; (ii) the advisory vote on executive compensation; (iii) the advisory vote on the frequency of the advisory vote on executive compensation; and (iv) the ratification of the appointment of Deloitte & Touche LLP as the independent registered public accounting firm of the Company for the year ending June 30, 2012.
