Results of Operations and Financial Condition.
|
On October 31, 2011, FS Energy and Power Fund (the “Company”) increased the Company’s public offering price from $9.90 per share to $9.95 per share. This increase in the public offering price will be effective as of the Company’s November 1, 2011 semi-monthly closing and will first apply to subscriptions received from October 17, 2011 through October 31, 2011.
The purpose of this action was to ensure that the Company’s net asset value per share did not exceed the Company’s offering price per share, after deduction of selling commissions and dealer manager fees, as required by the Investment Company Act of 1940, as amended.
A copy of the press release announcing the foregoing is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
