Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2011, David Rayner, Chief Financial Officer of EchoStar Corporation (the “Company”), notified the Company that he will be resigning from his position in order to pursue other opportunities effective November 8, 2011. Mr. Rayner will continue his employment with the Company for a short period of time in an advisory role in order to assist with an effective transition.

Ken Carroll, age 56, will succeed Mr. Rayner as Chief Financial Officer of the Company, also effective November 8, 2011.  Mr. Carroll, a 20-year veteran in the satellite TV and satellite broadband industry, served as Chief Operating Officer of EchoStar Satellite Services, a wholly-owned subsidiary of the Company, from August 2010 to June 2011, and since June 2011 has served as Executive Vice President, Business Development and International, of the Company.  Prior to joining the Company, from 2003 to 2010, Mr. Carroll served as President and Chief Operating Officer of WildBlue Communications, Inc., a nationwide satellite broadband company.  In addition, Mr. Carroll previously served as Chief Financial Officer for Liberty Satellite & Technology and direct-to-home satellite TV provider PrimeStar.
