(d) On October 26, 2011, the Board of Directors of R.R. Donnelley & Sons Company appointed Richard L. Crandall to the Board of Directors effective January 11, 2011, to serve until the next annual election of directors.
There is no arrangement or understanding under which Mr. Crandall was appointed other than as described in this Item 5.02(d). There are no transactions involving Mr. Crandall requiring disclosure under Item 404(a) of Regulation S-K.
