Item 2.02.          Results of Operations and Financial Condition.

On October 26, 2011, Westfield Financial, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended September 30, 2011.  The press release also announced the declaration of a regular cash dividend of $0.06 per share and a special cash dividend of $0.15 per share.  A copy of the press release is furnished as Exhibit 99.1 hereto and is hereby incorporated by reference into this Item 2.02.
