Item 2.02. Results of Operations and Financial Condition
Attached as Exhibit 99.1, and incorporated herein by reference, is a copy of the press release of Panera Bread Company (the “Company”) dated October 25, 2011 announcing the Company's financial results for the fiscal third quarter ended September 27, 2011, describing the Company's earnings targets for the fourth quarter and full year of fiscal 2011, and full year targets for fiscal 2012.

Item 7.01. Regulation FD Disclosure
The Company will host a conference call that will be broadcast on the Internet at 8:30 A.M. Eastern Time on Wednesday, October 26, 2011 to discuss the Company's financial results for the third quarter of fiscal 2011, preliminary earnings targets and business outlook for the fourth quarter and full year of fiscal 2011, and preliminary comparable net bakery-cafe sales results for the first 27 days of the fourth quarter of fiscal 2011. Investors can access the call at http://www.panerabread.com/investor. Access to the call will be made available for 14 days after the call and the release will be archived for one year.
