Explanatory Note

 

On June 17, 2011, US Gold Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) to, among other things, report the results of voting at the 2011 annual meeting of shareholders of the Company held on June 14, 2011 (the “Annual Meeting”) with respect to election of directors, an advisory vote on executive compensation (“say-on-pay”), an advisory vote on the frequency of the say-on-pay vote and appointment of the Company’s independent registered public accounting firm for the year ending December 31, 2011.  This Amendment No. 1 to Form 8-K is being filed to report the Company’s decision on the implementation of the frequency of the say-on-pay vote.

 

Item 5.07.  Submission of Matters to a Vote of Security Holders

 

As reported in the Original 8-K, a majority of the shares that voted at the Annual Meeting on the non-binding advisory vote regarding the frequency of future say-on-pay votes voted for the Company to hold such votes on executive compensation every three (3) years.  In light of this result, and after consideration by the Compensation Committee of the Board of Directors, the Committee has determined effective October 19, 2011 that the Company will hold future non-binding, advisory votes on executive compensation every three years until the next required non-binding advisory vote on the frequency of such votes on executive compensation.
