Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 20, 2011, IPC The Hospitalist Company, Inc. (the “Company”) filed a Current Report on Form 8-K announcing the appointment of Richard H. Kline, III to the position of Chief Financial Officer of the Company, effective as of November 1, 2011. This Amendment No. 1 to Current Report on Form 8-K/A is being filed to make a correction to the initial options to purchase common stock for Mr. Kline. The correct amount of initial options to purchase common stock pursuant to the terms of the employment agreement is 50,000 shares.
