Item 3.02. Unregistered Sales of Equity Securities.
On October 14, 2011, Janel World Trade, Ltd. (the “Company”) sold 750,000 shares of the Company’s Common Stock, par value $0.001 per share (the “Common Stock”), at a purchase price of $0.20 per share, or an aggregate of $150,000, to an accredited investor in a private placement in reliance upon the exemption from registration provided by Section 4(2) of the Securities Act of 1933 and Regulation D promulgated thereunder. The Company intends to use the proceeds from the sale for general corporate purposes.
