Item 8.01  Other Events.

 

As previously disclosed in a Current Report on Form 8-K filed by Harleysville Group Inc. (the “Company”) on September 30, 2011, the Company and Harleysville Mutual Insurance Company (“Harleysville Mutual”) entered into an Agreement and Plan of Merger, dated September 28, 2011 (the “Merger Agreement”), with Nationwide Mutual Insurance Company (“Nationwide Mutual”) and its wholly owned subsidiary, Nationals Subs, Inc. (“Merger Sub”).  Pursuant to the Merger Agreement, upon receipt of all required approvals and consents, and satisfaction of all closing conditions, Harleysville Mutual will merge with and into Nationwide Mutual and Merger Sub will merge with and into the Company.

 

Following the public announcement of the Merger Agreement, the Company has received a number of inquiries regarding whether the Company is restricted in its ability to pay its regular quarterly dividends in the future.  Section 7.1 of the Merger Agreement sets forth delineated actions that the Company cannot take without Nationwide Mutual’s consent, which consent cannot be unreasonably, conditioned or delayed.  Such consent requirement will apply until the earlier of (1) the closing of the transactions under the Merger Agreement or (2) the termination of the Merger Agreement.  Specifically, under Section 7.1(s) of the Merger Agreement, the Company cannot pay any dividends to its stockholders without Nationwide Mutual’s consent.  The dividend declared on September 15, 2011, and paid on September 30, 2011, was not subject to this consent requirement.

 

The Company will not make a quarterly dividend for the fourth quarter 2011.  With respect to any quarterly dividends in 2012, the above-described requirement for Nationwide Mutual’s consent will continue to apply.
