Item 1.01.		Entry into a Material Definitive Agreement

     On September 29, 2011, Nationstar Mortgage LLC, a Delaware limited liability company (“Nationstar”) and a financial institution entered into a purchase and sale agreement (the “Purchase and Sale Agreement”) pursuant to which Nationstar agreed to purchase the mortgage servicing rights to certain residential mortgage loans with an unpaid principal balance of approximately $10.2 billion.

     Under the terms of the Purchase and Sale Agreement, Nationstar will pay a purchase price for the mortgage servicing rights based on prevailing market conditions. The transaction closed on September 30, 2011.
