Departure of Directors or Certain Officers; Election of Directors; Appointment of   Certain Officers; Compensatory Arrangements of Certain Officers.

(b) and (c) - On September 28, 2011, the Board of Directors of Clear Skies Solar, Inc.’s (the “Company”) elected Ezra Green, Chairman and CEO of the Company, to the added positions of President and COO of the Company, which positions were formerly held by Thomas Oliveri.  Mr. Oliveri retired from the Company effective on September 27, 2011.  Mr. Green will maintain his current base annual salary and benefits.
