Item 8.01.                      Other Events.
 
As previously disclosed, FPIC Insurance Group, Inc. (the “Company”) has entered into that certain Agreement and Plan of Merger, dated as of May 23, 2011 (the “Merger Agreement”), by and among The Doctors Company, a California domiciled reciprocal inter-insurance exchange (“TDC”), Fountain Acquisition Corp., a Florida corporation and a wholly owned subsidiary of TDC (“Merger Sub”), and the Company, pursuant to which Merger Sub will merge with and into the Company and the Company will continue as the surviving corporation and a wholly owned subsidiary of TDC (the “Merger”). As previously disclosed, TDC filed the necessary application in connection with the Merger (Form A) with the Texas Department of Insurance on June 14, 2011. On September 28, 2011, the Texas Commissioner of Insurance approved the Merger.
 
The closing of the Merger remains subject to the terms and conditions set forth in the Merger Agreement, including the receipt of approval from the Florida Office of Insurance Regulation.
