Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 26, 2011, the board of directors of Questcor Pharmaceuticals, Inc. (the “Company”) appointed Michael H. Mulroy, age 45, the Company’s Senior Vice President, Chief Financial Officer and General Counsel, to the additional role of principal accounting officer, effective immediately, replacing Kristine Engelke in the role of principal accounting officer. Ms. Engelke will continue her role as Corporate Controller of the Company.

Mr. Mulroy has served as Senior Vice President, Chief Financial Officer and General Counsel of the Company since January 10, 2011. From 2003 to 2011, Mr. Mulroy was employed by the law firm of Stradling Yocca Carlson & Rauth, where he served as a partner since 2004. At Stradling Yocca Carlson & Rauth, Mr. Mulroy represented the Company and other publicly-traded companies. From 1997 to 2003, Mr. Mulroy was an investment banker at Merrill Lynch and Citigroup. Mr. Mulroy earned his J.D. degree from the University of California, Los Angeles and his B.A. (Economics) from the University of Chicago. Mr. Mulroy serves as a member of the board of directors of Comarco, Inc., a publicly-traded company. There are no family relationships between Mr. Mulroy and any of the Company’s directors or executive officers, and the Company has not entered into any transactions with Mr. Mulroy that are reportable pursuant to Item 404(a) of Regulation S-K.
