Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Hamburg, NY, September 26, 2011– Evans Bancorp, Inc.( NASDAQ: EVBN) today announced the resignation of Mary Catherine Militello from the Company’s Board of Directors and the Board of Directors of Evans Bank, N.A. due to the relocation of her family’s residence to California. Mrs. Militello, a marketing consultant, has served on the Board of Directors since April 2004 and has additionally held positions on the Audit and Human Resource and Compensation Committees. The resignation is effective October 31, 2011.
