Item 8.01. Other Events.
On September 12, 2011, MIPS Technologies, Inc. (the “Company”) issued a press release with respect to the receipt of notice from Starboard Value LP regarding its intent to nominate candidates for election to the Board of Directors of the Company at the
Company’s 2011 Annual Meeting of Stockholders, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference. In addition, the Company sent an email communication to employees with respect to the events described above, a copy of which is attached hereto as Exhibit 99.2 and incorporated herein by reference.
