Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 25, 2011, Peter M. Miller informed the Board of Directors (“Board”) of Newcastle Investment Corp. that he would resign from the Board, effective as of August 26, 2011. Mr. Miller resigned from the Board to comply with his new employer’s existing policy restricting employees from serving on certain types of boards. Mr. Miller has served as a Class I independent director and as a member of the Board’s Audit Committee, Nominating and Corporate Governance Committee and Compensation Committee since February 2003. His current term was scheduled to expire in 2012.
