On August 25, 2011, Irwin Scher, M.D., resigned as a member of the Board of Directors (the “Board”) of Redpoint Bio Corporation, a Delaware corporation (the “Company”) and member of the Nominating and Corporate Governance Committee and Intellectual Property Oversight Committee of the Board, effective immediately.  There is no disagreement between Dr. Scher and the Company on any matter relating to the Company’s operations, policies or practices.
