On August 24, 2011, W.E.T. Automotive Systems AG, a German company of which Amerigon Incorporated (the “Company”) holds a majority interest, publicly released its Half Year Report 2011 covering the period from January 1, 2011 to June 30, 2011 (the “Half Year Report”). A copy of the Half Year Report is filed as Exhibit 99.1 to this report and is incorporated in this report by reference. The information in this Section 2, Item 2.02 and the attached exhibit shall not be deemed filed by the Company for purposes of Section 18 of the Securities Act of 1934, nor shall they be deemed incorporated by reference in any Company filing under the Securities Act of 1933, except as shall be expressly stated by specific reference in such filing.
