Item 8.01 Other Events.
On August 24, 2011, GT Advanced Technologies Inc. (the “Company”) announced that it acquired Confluence Solar, Inc. The purchase price paid by the Company consisted of $60 million in cash paid to Confluence Solar’s shareholders and optionholders at closing and an additional $20 million of cash earn-outs payable upon the achievement of certain financial and technical milestones. A copy of the press release announcing the acquisition of Confluence Solar, Inc. is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.
