Item 7.01 Regulation FD Disclosure.

On August 16, 2011, New Energy Systems Group (the “Company”) held a conference call to discuss the Company’s results for the second fiscal quarter ended June 30, 2011. A copy of the conference call transcript is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
