Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c) Effective August 16, 2011, BPZ Resources, Inc. (“the Company”) appointed Richard (Rick) Menniti as Chief Financial Officer of the Company. Mr. Menniti, 52, joined the Company in September of 2010 as Director of Corporate Finance. Since July 1, 2011, Mr. Menniti has served as interim Chief Financial Officer.
Mr. Menniti was employed by Shell Oil Company as Treasurer and Treasury Operations Manager for North America from December 1, 2005 to June 30, 2010. Immediately preceding that, Mr. Menniti was Chief Financial Officer of Oak Power Services LLC, employed by Shell North America Gas and Power Services, from August 1, 2005 to November 30, 2005. From October 1, 2003 to July 31, 2005, Mr. Menniti was Vice President and Corporate Controller of InterGen Services, employed by Shell North America Gas and Power Services. Mr. Menniti is a Certified Public Accountant, a Certified Management Accountant, a Certified Treasury Professional, and holds a Masters of Business Administration.
The Company did not enter into any additional material plans, contracts or arrangements with Mr. Menniti in connection with the promotion. There are no family relationships between Mr. Menniti and any director or executive officer of the Company which would require disclosure under item 401(d) of Regulation S-K and no transactions between Mr. Menniti or any of his immediate family members and the Company which would require disclosure under Item 404(a) of Regulation S-K.

In connection with the appointment of Mr. Menniti, the Company issued a press release on August 16, 2011, which is being furnished as Exhibit 99.1 to this report.
