ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On August 10, 2011, China Information Technology, Inc., a Nevada Corporation (the “Company”), issued a press release announcing its financial results for the quarter ended June 30, 2011. A copy of the press release is hereby furnished as Exhibit 99.1 and incorporated herein by reference.

The press release furnished as Exhibit 99.1 hereto contains certain statements that may include “forward-looking statements” within the meaning of Section 27A of the Securities Act of 1933, as amended (the “Securities Act”), and Section 21E of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
