Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 8, 2011, the Board of Directors (the “Board”) of Synergetics USA, Inc. (the “Company”), upon the recommendation of its Nominating and Corporate Governance Committee, elected D. Graeme Thomas and Patricia S. Williams as members of the Board.  Mr. Thomas will serve as a Class B director, with a term expiring at the 2013 annual meeting of the shareholders or until his successor shall have been duly elected and qualified.  Ms. Williams will serve as a Class A director, with a term expiring at the 2012 annual meeting of the shareholders or until her successor shall have been duly elected and qualified. It is expected that the Board will appoint Mr. Thomas as a member of its Compensation Committee, and Ms. Williams as a member of its Nominating and Corporate Governance Committee.

There is no arrangement or understanding between Mr. Thomas or Ms. Williams and any other person pursuant to which they were selected as directors.  There have been no transactions and are no currently proposed transactions in which the Company was or is to be a participant and the amount involved exceeds $120,000, and in which Mr. Thomas or Ms. Williams had or will have a direct or indirect material interest.

As new members of the Board, each of Mr. Thomas and Ms. Williams will be entitled to receive the same compensation provided to other directors who are neither employees of the Company nor immediate family members of an officer of the Company.  Such directors are paid $950 for each meeting of the Board and each meeting of a committee of the Board that they attend.  In addition, such directors receive compensation at the standard Board meeting rate of $950 per day for each day spent at the Company and each day spent away from personal business on Company business.  They also receive $650 per meeting for each telephonic meeting of the independent directors or on Company business.  In addition, each such director receives an option to purchase 10,000 shares of Company common stock each year in which he or she is elected or reelected to serve as a director pursuant to the Amended and Restated 2005 Non-Employee Directors’ Stock Option Plan.  This option is granted on the day following the Annual Shareholders’ Meeting at the closing price on the day of the Annual Shareholders’ Meeting.  The stock options vest in four equal quarterly installments, with the first installment vesting three months from the date of grant.
