Item 1.02 Termination of a Material Definitive Agreement

On July 29, 2011, the Company paid in full US$50,000, for a demand loan agreement and promissory note dated August 23, 2010 with CAB Financial Services (the “Lender”), a company controlled by a director and officer of our Company.
