Item 5.07 Submission of Matters to a Vote of Security Holders.
On April 14, 2011, The Goodyear Tire & Rubber Company (the "Company") filed a Current Report on Form 8-K announcing the final voting results of the matters acted upon by the Company's shareholders at its Annual Meeting held on April 12, 2011. We are filing this Form 8-K/A to announce that, on August 2, 2011, the Board of Directors determined, consistent with the shareholders' vote on the matter, to hold an advisory vote regarding the compensation of the Company's named executive officers every year until the next vote on the frequency of such advisory votes.
