Explanatory Note
This current report on Form 8-K/A updates information provided on a Form 8-K filed on March 4, 2011, relating to disclosures made under Item 5.07, Submission of Matters to a Vote of Security Holders, associated with the Biodel Inc. (the “Company”) annual meeting of stockholders held on March 1, 2011 (the “Annual Meeting”).
Item 5.07   Submission of Matters to a Vote of Security Holders
As previously reported, at the Annual Meeting, in a non-binding advisory vote, over a majority of the votes cast voted in favor of three years as the frequency with which the Company should hold future non-binding advisory votes on the compensation of our named executive officers. In light of these voting results and other factors, the Company will hold future non-binding advisory votes on the compensation of our named executive officers on a triennial basis, until the next non-binding advisory vote on the frequency of such votes on executive compensation.
