On July 28, 2011, Fortune Brands, Inc. (the “Company”) announced the commencement of tender offers of certain Company notes for up to an aggregate purchase price of $1 billion. The purpose of the tender offers is to reduce the Company’s debt, using proceeds from the sale of the Company’s golf business, prior to the proposed spin-off of the Company’s home and security business. The press release is included as Exhibit 99.1 and is incorporated herein by reference.
