On July 26, 2011, Watsco, Inc., a Florida corporation (the “Company”), issued a press release reporting its financial results for the quarter and six months ended June 30, 2011. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.

The information set forth in Item 2.02 of this Current Report on Form 8-K is incorporated by reference in this Item 7.01.
On July 26, 2011, the Company issued a press release announcing the execution of a definitive agreement with Carrier Corporation (“Carrier”), a unit of United Technologies Corporation, to acquire Carrier’s HVAC distribution operations in Mexico. A copy of the press release is furnished as Exhibit 99.2 to this Current Report on Form 8-K and incorporated in this Item 7.01 by reference.
