Item 7.01 Regulation FD Disclosure.

On July 26, 2011, Niska Gas Storage Partners LLC (the “Company” or “Niska”) issued a press release announcing a cash distribution of $0.35 per common and subordinated unit for its first quarter ended June 30, 2011. The distribution will be payable on Friday, August 12, 2011 to unit holders of record at the close of business on Friday, August 5, 2011. This distribution represents the minimum quarterly distribution of $0.35 per unit, or $1.40 per unit on an annualized basis, as set forth in Niska’s operating agreement.  The distribution rate is unchanged from the preceding quarter.  Niska also announced that it will release its results for the quarter ended June 30, 2011 on Wednesday, August 10, 2011 and will host a conference call detailing its year end results on Thursday, August 11, 2011 at 10:00 a.m. Eastern Daylight Time (9:00 a.m. CDT).  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
