RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On July 25, 2011, Sierra Bancorp issued a press release announcing its unaudited financial results for the quarter and the six months ended June 30, 2011. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
