Item 8.01       Other Events.

 

On July 20, 2011, DPL Inc. issued a press release announcing that it has rescheduled its 2011 Annual Meeting of Shareholders to September 23, 2011, at 10:00 a.m. Eastern time. The meeting will be held in Dayton, Ohio at the Mandalay Banquet Center. Holders of common shares of record at the close of business on August 2, 2011, are entitled to vote at the annual meeting. Shareholders will be voting on the proposed merger of DPL Inc. with The AES Corporation that was announced by DPL Inc. on April 20, 2011, and on other matters. Under DPL Inc’s Regulations, shareholders who wish to nominate persons for election as directors at the annual meeting must provide notice to DPL Inc. by August 3, 2011. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
