Item 5.07 Submission of Matters to a Vote of Security Holders.
On July 13, 2011 Beacon Power Corporation (the Company) held its 2011 Annual Meeting of Stockholders (the Annual Meeting). Four proposals were before the Annual Meeting: (1) the election of F. William Capp, Daniel E. Kletter, Virgil G. Rose, Jack P. Smith and Edward A. Weihman as directors of the Company to serve until the 2012 Annual Meeting of Stockholders and until their respective successors are duly elected and qualified; (2) the ratification of the appointment of Miller Wachman LLP as the Companys independent registered public accounting firm for the 2011 fiscal year; (3) a non-binding vote to approve, on an advisory basis, the compensation of our named executive officers as disclosed in the Companys Proxy Statement for the Meeting; and, (4) a non-binding vote to determine the frequency of conducting future advisory votes on executive compensation.
Only stockholders of record as of the close of business on May 27, 2011 were entitled to vote at the Annual Meeting. As of May 27, 2011, 26,116,674 shares of common stock of the Company were outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 18,796,950 shares of common stock of the Company were represented, in person or by proxy, constituting a quorum.
All of the proposals were approved. The votes with respect to the proposals are set forth below.
