Other Events.

 
On July 18, 2011, Temple-Inland Inc. (“Temple-Inland”) issued a press release announcing that its Board of Directors rejected the unsolicited tender offer from International Paper Company (“International Paper”) and recommended that Temple-Inland stockholders not tender their shares into International Paper's offer.  The press release is attached as Exhibit 99.1 and incorporated herein by reference.
