On July 15, 2011, Immucor, Inc. (the “Company”) issued a press release announcing the commencement of the previously announced tender offer by IVD Acquisition Corporation to acquire all of the outstanding shares of common stock, $0.10 par value per share, of the Company at a purchase price of $27.00 per share, in cash, payable without interest and less any applicable withholding taxes.
