On July 14, 2011, Delcath Systems, Inc. (the “Company”) issued a press release announcing the sale of 5,000,000 million shares of its common stock pursuant an underwriting agreement, dated July 14, 2011 with Jefferies & Company, Inc. A copy of the press release is filed as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
